Terms of service.

Effective May 10, 2026 · Governs use of the Zayos platform by restaurant operators (you / your business).

v1 draft. These terms are written in plain English to match how we actually operate today. They're scheduled for outside-counsel review before our second paying customer onboards. If anything here is unclear or you're an enterprise asking for a redlined version, email abdallah@zayrev.com.

1. Who's the agreement between?

You (the operator — a legal business entity) and Zay Revenue Group LLC, a Florida limited liability company ("Zayos," "we," "us"). Our registered address is 555 NE 8th St, Apt 107, Fort Lauderdale FL 33304. EIN 42-1881359.

2. The service

Zayos is restaurant operating software: direct online ordering, marketplace ingestion via Otter, kitchen tablet workflow, customer database, AI-assisted marketing, and Stripe-Connect-powered payments. We provide the software; you run your restaurant. We don't cook, dispatch, or deliver.

3. Account, signup, and acceptance

By creating an account at /signup or being added as a member of an existing account, you accept these terms. If you're accepting on behalf of a business entity, you represent that you have authority to bind it. We log a timestamped acceptance record on signup.

Owners must be 18+ and a US-based legal entity (LLC, corp, partnership, or sole proprietor with a federal EIN). We reserve the right to refuse service.

4. Subscription, fees, and the 14-day money-back

Three tiers, posted at /zayos/pricing: Operator ($399/loc/mo), Operator + Marketplace ($499/loc/mo), Concierge ($599/loc/mo). Multi-location discounts apply automatically: 10% off at 3+, 15% off at 10+ locations.

Billing is monthly or annual; you choose at checkout. Annual is prepaid with a 10% discount. Auto-renew unless you cancel before the next term.

14-day money-back: if you're unhappy in the first 14 days after your first paid invoice, email us and we refund the most recent charge in full. After 14 days we don't pro-rate refunds for the current month, but you can cancel future renewals anytime.

Customer-paid surcharge: the convenience fee your diners pay (tiered per Owner.com-style schedule, configurable in /backoffice) is routed to Zayos via Stripe Connect application_fee_amount. Your operator payout is unaffected.

5. Payments and payouts

We process payments through Stripe Connect (Express). You complete Stripe's KYC + bank-routing onboarding directly with Stripe; we never see or store your full account number. Payouts land in your linked bank daily for completed orders.

Sales tax is set aside, filed, and paid via DAVO (separate signup; we integrate). We don't advise on tax matters.

If a customer disputes a charge with their bank (chargeback), Stripe holds the disputed amount + a $15 dispute fee. We surface chargebacks in /app/finance/disputes and email you the same hour. Final liability for a sustained chargeback rests with you, the operator, per Stripe's standard terms.

6. Marketplaces (DoorDash / Uber Eats / Grubhub via Otter)

Marketplace orders are ingested through your Otter integration. Each marketplace maintains its own contract directly with you; we don't broker that relationship or sit between you and the marketplace on payouts. We synchronize menu, hours, and 86-list state and we mirror status updates both ways. We can't guarantee a specific marketplace stays online — that's their service to you, not ours.

7. Your data, our data, customer data

Your business data (menu, prices, orders, customers who ordered from your brand, financial records) is yours. Export anytime via /app/settings/data or by emailing us. We retain order + payment records for 7 years per US tax law.

Aggregate, anonymized usage data (e.g. industry-wide AOV, channel-mix benchmarks) we may use to improve the product and publish in research without naming you.

Customer data follows our customer-facing Privacy Policy (linked from each tenant's storefront). When a customer exercises their GDPR/CCPA right to deletion, we anonymize their PII across both your tenant copy and our aggregate copy within 30 days.

8. Acceptable use

You agree not to use Zayos to:

  • Process payments for fraudulent, illegal, or chargeback-prone goods
  • Sell items prohibited by Stripe's restricted-business list (drugs, weapons, etc.)
  • Spam your customers (CAN-SPAM, TCPA, GDPR consent rules apply to your broadcast usage)
  • Reverse-engineer, scrape, or stress-test the platform without written permission
  • Resell or sub-license the platform to third parties

Violations may lead to suspension, account termination, and (in clear fraud cases) Stripe Connect account termination.

9. Uptime and credits

We aim for 99.95% uptime month-over-month, measured at our load balancer. Status page: /status. If we drop below 99.9% for the calendar month, you're eligible for a 10% credit on the next invoice; below 99.0%, 30%. Credits are issued automatically; no ticket required.

Excludes: scheduled maintenance announced 24h+ ahead; outages caused by third-party providers (Stripe, Otter, marketplaces) when their status pages are down too; force majeure.

10. Termination

You may cancel anytime from /app/billing or by emailing us. Upon cancellation, we stop billing at the next renewal. Your data remains available for export for 90 days, then anonymized (we keep aggregated order records as noted in §7).

We may terminate immediately for material breach (acceptable use violation, non-payment after 30 days notice, or sustained chargeback rate above 1% without remediation).

11. Liability + warranty

We provide the service "as is." We warranty that the service performs substantially as described in our published documentation. We disclaim implied warranties of merchantability and fitness for a particular purpose to the maximum extent allowed by law.

Liability cap: our total liability for any claim is capped at the fees you paid us in the 12 months preceding the claim. This cap doesn't apply to your indemnification obligations under §12, fraud, or willful misconduct.

12. Indemnification

You indemnify us from claims arising out of your content (menu, marketing copy you upload), your customer interactions, your tax obligations, your employment of staff, food safety, your contracts with marketplaces or other third parties, and your violations of acceptable use.

13. Governing law + disputes

Florida law governs this agreement. Disputes go to binding arbitration in Broward County, Florida (American Arbitration Association rules). Class actions are waived. Either party may seek injunctive relief in court for IP or confidentiality violations without first arbitrating.

14. Changes to these terms

We may update these terms; we email you at least 30 days before material changes. Continued use after the effective date of an update is acceptance of the updated terms. The current version is always at this URL with the effective date at the top.
